2nd INTERNATIONAL ART EXPO MALAYSIA 2008 EXHIBITION TERMS & CONDITIONS

2nd INTERNATIONAL ART EXPO MALAYSIA 2007 WILL BE HELD FROM 26th TO 30th NOVEMBER 2008. THE EXHIBITION IS ORGANISED AND MANAGED BY ART EXPO MALAYSIA SDN. BHD. WITH THE SUPPORT OF PARTICIPATING GALLERIES AND ARTISTS. ALL EXHIBITORS AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS.
     
1.0  
DEFINITION & INTERPRETATION
 
In these terms and conditions:
'Authorities' means a government agency that is empowered to exercise control or discretion in relation to the Exhibition or the Exhibition Premises;
'Balance Fee' means a sum which is equivalent to 70% of the gross rental of the Booth;
'Booth' means the space (or any part thereof) allocated by the Organiser to the Exhibitor within the Exhibition Premises;
'Contractor' means any other contractor from time to time appointed by the Organiser;
'Deposit' means a sum which is equivalent to 30% of the gross rental for the Booth;
'Exhibition' means 2nd INTERNATIONAL ART EXPO MALAYSIA 2008;
'Exhibition Premises' means the property in which the Exhibition is held, including the fixtures and fittings therein;
'Exhibitor' means the person, company or art gallery which has Exhibits at the Exhibition, including its officers, employees and agents;
'Exhibits' means the artworks to be exhibited or displayed at the Exhibition;
'Move-in Period' means 25th November, from 9.00 am to 4.00pm;
'Organiser' refers to ART EXPO MALAYSIA SDN. BHD. and its officers, employees, agents, and where the context so admits, the Contractor.

2.0  
APPLICATION AND ADMISSION
2.1  



An application to participate in the Exhibition must be made on a form prescribed by the Exhibitor and be accompanied by the Deposit. The application will not be considered without the deposit. An application that is received on or before 31st May 2008 will enjoy a discount of 20% over the gross rental for the booth.
2.2  
The Organiser and its committee has the sole and exclusive discretion to
 
a.
b.
reject or approve the application; and
allocate the Booth.
2.3  

The Deposit shall be refunded in full (free of interest) if the application is rejected or the Exhibition is oversubscribed.
2.4  
The Exhibitor warrants that
 
a.
b.
the information contained in the application is true and accurate;
its Exhibits are authentic and original.
2.5  
The Organiser reserves the right to revoke any application if
 
a.
b.
c.
the information contained in the application form is false;
the Exhibits are not authentic or original; or
the Exhibitor fails to comply with these terms & conditions.
2.6  
In that event,
 
a.
b.
 
c.
 
all payment, including the Deposit, shall be forfeited in full;
the  Organiser may but shall not be obliged to remove any Exhibit that does not
comply  with the requirements of the Authorities.
the Organiser may but shall not be obliged to require the Exhibitor to leave the
Exhibition Premises and forfeit its Booth.
2.7  


 
The Exhibitor indemnifies and holds the Organiser harmless against any and all loss and damage incurred or suffered by the Organiser arising from or in connection of the Exhibitor's breach of any of these terms and conditions.

3.0  
PAYMENT AND RELATED MATTERS
3.1  


 
The Balance Fee shall be paid on or before 30th June 2008. The Fee is payable without any deduction, withholding or set-off whatsoever. Payment is deemed to be received by the Organiser upon clearance of cheques or bank confirmation of telegraphic or electronic transfers.
3.2  
An application may be withdrawn only in writing.
3.3  


If an application is withdrawn on or before 15th June 2008, an administrative charge equivalent to 30% of the Deposit shall be forfeited, with the balance 70% of the Deposit refunded.
3.4  


If an application is withdrawn after 15th June 2008 or payment of the Balance Fee is not received by 30th June 2008, the application will be deemed to be withdrawn. In that event, the Deposit will be forfeited in full.
3.5  


Any application made after 15th June 2008 shall be accompanied by the Deposit and Balance Fee. Unless the application is rejected, neither the Deposit nor the Balance Fee shall be refunded under any circumstances, whatsoever.
3.6  







An Exhibitor who fails to occupy its Booth by the designated set-up day will forfeit the right to occupy the Booth but shall continue to be liable for the gross rental of the Booth. In that event, the Organiser shall reassign the Booth at its sole and absolute discretion.
Unless the Organiser is notified in writing the justifiable reason that cause the setting up to be delayed, and the said Exhibitor gives an undertaking to do so once the problem has been resolved, and the Organiser has accepted the explanation, the Exhibitor shall have deemed to have lost the rights as stated above.

4.0  
ELIGIBILITY OF EXHIBITORS
4.1  
The Exhibitor shall
 
a.

at the request of, and in such detail as may be required by, the Organiser,
furnish to the Organiser a description of the Exhibits and proposed use of the
booth;
ensure that the Exhibits do not represent the works of any artist not specified
in the catalogue registration form.
ensure that the Exhibits do not offend the rules, regulations or requirements
of the Authorities.
4.2  



The display of the Exhibits in the Exhibition shall not be construed or understood as an acceptance by the Organiser that the rules, regulations or other requirements of the Authorities have been satisfied.

5.0  
CATALOGUE AND PUBLICITY FOR EXHIBITION
5.1  





Each Booth rented at the Exhibition will entitle the Exhibitor to a complimentary 2 pages advertisement in the Exhibition Catalogue, comprising 1 image and narrative on first page, and 1 or 2 images and narrative on second page. Additional advertisement space in the catalogue may be purchased at RM 620 (USD $200) per page or part thereof. (A minimum of 2 pages requirement per ad insertion, with a maximum of 6 pages in total of ad insertions for each Exhibitor).
5.2  


In all cases, the deadline for the submission of the desired image and narrative for insertion into the catalogue is 31st July 2008; failing which the Organiser reserves the right to use images and information contained in the application form.
5.3  


The Organiser may use images of Exhibits of the Exhibitor for marketing and publicity purposes for the yearly event.

6.0  
BOOTH CONSTRUCTION
 
The Booth shall be constructed of material which is approved by and installed to the satisfaction of the Authorities. The Contractor must carry out all electrical installations. No flashing lights or other potential disturbance shall be permitted. The electrical supply to any illuminated fascia or Exhibits shall be disconnected if, in the sole and absolute discretion of the Organiser, the said fascia/ Exhibits cause a nuisance to any other Exhibitor.

7.0  
PRESENTATION OF EXHIBITS
7.1  

Paintings should be properly framed and hung, and should not be left haphazardly on the floor as display.
7.2  

Three-dimensional works should be decently presented, preferably on a pedestal or in fabricated structures or specially created niches.
7.3  




 
Art installations, which are artworks comprising any material including electronic and often with specific messages, are the only exemptions, in which case the presentation should be consistent with the overall concept. But the art installations should not touch on sensitive racial or religious sentiments because of the country's rules and regulations.

8.0  
DISMANTLING OF EXHIBITS
 
Exhibits must not be removed or dismantled either partially or totally before the closing time on the last day of the Exhibition. All Exhibits must be removed within [4 hours] thereafter; failing which the Exhibits shall be deemed to be abandoned and the Organiser shall dispose of the same accordingly.

9.0  
ASSIGNMENT
 
The Exhibitor shall not sublet, assign, share or otherwise transfer in whole or in part any rights relating to the Booth or this agreement. No name other than that of the Exhibitor may be displayed at the Booth, nor may any literature in respect of goods other than the Exhibits be displayed or distributed without the written consent of the Organiser.

10.0  
SHIPPING
10.1  


United Logistics Sdn. Bhd. is the appointed freight-handling agent for the Exhibition. Its scope of services and fee schedule are provided upon request. The cost of shipment of Exhibits for the Exhibition shall be borne by the Exhibitor.
10.2  











The Organiser will not accept any freight deliveries/ shipments or C.O.D. deliveries on behalf of any Exhibitor. The official freight-handling agent will handle any goods arriving prior to the Move-in Period. Consignment of all shipments to be delivered to the freight-handling agent will be the responsibility of the exhibitors. Their contact details are:

10.3  


An Exhibitor who wishes to undertake the movement of its Exhibits in and out of the Exhibition Premises is required to execute an indemnity against damage to the Exhibition Premises and shall be liable for the cost of making good such damage.
10.4  





An Exhibitor is only allowed to bring into the Exhibition Premises items that may be carried by hand or by trolley. Other deliveries that require mechanical transportation must be handled by the official freight-handling agent, who will provide the necessary transportation equipment at the prevailing rate. Transportation of goods is not permitted through the public areas, at the front of the Exhibition Premises including the passenger lifts, lobbies and the concourse area.
10.5  

Crate storage - All crate storage will be handled by the official freight-handling agent at prevailing rates.
10.6  
 

The loading and unloading of vehicles is subject to the terms prevailing at the Exhibition Premises.

11.0  
STORAGE
 
Storage space for the Exhibits or property of the Exhibitor is not provided. The Exhibitor shall bear the cost of any additional storage space that it may require at the Exhibition Premises.

12.0  
SECURITY
12.1  
a 24-hour uniformed guard service will be employed for the duration of the Exhibition.
12.2  

Badges/security passes will be issued by the Organiser, without which entry to the Exhibition shall be prohibited.
12.3  




The movement of items out of the Exhibition Premises must be accompanied by an official delivery order together with a badge or security pass. Exhibitors may bring additional Exhibits into the Exhibition Premises during the Exhibition, subject to the approval of the Organiser. However movement of Exhibits is confined to before and after opening hours of the Exhibition.
12.4  



The Organiser reserves the right to withdraw the badge/ security pass issued to any person if complaints are received concerning his conduct or on any other reasonable grounds.

13.0  
INSURANCE AND SAFETY
13.1  




The Exhibitor shall be responsible for and maintain full insurance coverage against all risk to its Exhibits, properties and injury to persons during the Exhibition. The Organiser shall not be liable for any loss or damage, whatsoever, suffered by the Exhibitor, including any loss or damage due to failure or disruption of lightning and air-conditioning.
13.2  

The Exhibitor shall comply with fire, safety and security regulations imposed by the Authorities, and shall not cause or permit any damage to the Exhibition Premises.
13.3  




The Exhibitor shall indemnify the Organiser for all loss or damage suffered by third parties arising from or in connection with the negligence of the Exhibitor, or a breach by the Exhibitor of these terms and conditions or failure to comply with the fire, safety and security regulations imposed by the Authorities.

14.0  
FORCE MAJEURE
 
The Organiser shall, upon the occurrence of events beyond its control including, but not limited to, act of God, fire, storm, tempest, lightning, flood, natural disaster; national emergency, war, labor disputes, strikes, lockouts, civil disturbances, economic or political unrest; explosion, destruction, damage to property, unforeseeable accident; epidemic, have the sole and absolute discretion to cancel, postpone or shorten the duration of the Exhibition. In such circumstances, the Exhibitors shall not be entitled to any refund or compensation, whatsoever.

15.0  
EXCLUSION OF THIRD PARTY RIGHTS
 
No person other than the Exhibitor and Organiser shall have any right under the Contracts (Right of Third Parties) Act to enforce any of the terms of these Terms and Conditions. The parties agree that the Contracts (Right of Third Parties) Act is hereby excluded.

These terms and conditions constitute the entire and final agreement between the Organiser and the Exhibitor and shall be governed by the laws of Malaysia. The Organiser and the Exhibitor agree to submit to the jurisdiction of the Malaysia courts in the event of any dispute or issues to be resolved.
